The duties of the KGET Company Secretary are as follows:

• Advise and guide the chairman and board to ensure they are operating in accordance with all statutory requirements and the KGET Articles of Association.

• Monitor changes in relevant legislation and the regulatory environment and advise the chairman and board on any appropriate action that needs to be taken.

• Liaise with external regulators and advisers, such as solicitors and auditors. • File reports and annual returns as required with regulatory bodies, such as Companies House and the Charity Commission.

• Keep KGET details up to date and correctly recorded by regulatory bodies, including the KGET register of members.

• Be familiar with sources of guidance and recommended best practice available from external resources, such as Charity Commission and Association of Independent Museums and promote this to the chairman and board.

• Ensure that all meetings are properly communicated, administered and minuted in alignment with the requirements of the KGET Article of Association.

• Keep all written and electronic records safely and securely stored with appropriate back-up of electronic records.

What skills do I need?

• Have a good knowledge of Company and Charity law.

• Be able to give clear advice on procedural matters.

• Be organised, methodical and forward-thinking.

• Have good inter-personal and communication skills.

• Be able to organise a meeting well.

• Be able to create accurate and comprehensive minutes from meetings.

• Be able to keep accurate and detailed records.

• Experience of the Company Secretary role is desirable but not essential.

  • Accessibility
    The rooms where meetings are normally held are only accessible using stairs. However meetings can be held in the museum building which can be accessed using a lift.
  • Age restrictions
    Applicants must be aged 18 or over.
  • DBS check required
    The role does not entail working with people under the age of 18 or with special needs.

    KGET will authorise the reimbursement of any reasonable expenses incurred while performing this role.

    Ongoing support will be provided to the secretary by the KGET Trustees.
  • Training provided
    Any appropriate training that is required will be provided by KGET.
  • Volunteer induction
    A full induction will be provided to the successful applicant by the existing Company Secretary.
  • Volunteer Policy
    KGET has a volunteer policy in place and abides by this.
  • Volunteers covered by insurance
    A full insurance policy is in place held with Ecclesiastical insurance.
  • Written role description
    A written role description exists and can be provided to anyone interested in applying for the position.

Availability Details

The successful candidate should be prepared to commit around eight to twelve hours per month. This will include participating in KGET trustee meetings. These are held at the museum on weekday evenings, generally one meeting every two months. The rest of the work can be carried out at timings and locations that are at the discretion of the secretary.
